These Terms of Service govern your access to and use of FidMarket, including the website, applications, APIs, communications, and related services collectively referred to as the Platform.
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
1. What FidMarket Is
FidMarket is a marketplace that enables users to list, discover, buy, sell, transfer, and manage certain digital assets and associated rights, including Farcaster IDs (“FIDs”), associated Farcaster usernames / fnames where included with a listing, and related digital account control rights where supported by the Platform.
FidMarket provides marketplace and transaction tooling, including listing interfaces, offer flows, order handling, signing flows, escrow and settlement tooling, notifications, account management tools, and related support functions.
FidMarket is not a bank, broker, custodian of fiat currency, investment adviser, or official Farcaster service.
2. Eligibility
You may use the Platform only if:
- you are at least 18 years old and legally capable of entering into a binding agreement;
- you are not located in, organized in, or ordinarily resident in a jurisdiction where use of the Platform would be unlawful;
- you are not the subject of sanctions, export restrictions, or other legal prohibitions;
- your use of the Platform does not violate any law, regulation, court order, contract, or third-party right.
- you are using the Platform for lawful purposes only.
3. User Accounts and Wallet Access
Access to parts of the Platform may require wallet-based authentication, including Sign-In with Ethereum or similar signature-based authentication.
You are solely responsible for maintaining the security of your wallet, private keys, devices, sessions, passphrases, recovery methods, and connected accounts.
We do not control your wallet and cannot recover private keys, reverse blockchain transactions, or restore access if you lose control of your wallet.
4. Marketplace Role and No Guarantee of Transactions
FidMarket provides technology and marketplace infrastructure. Except where the Platform explicitly states otherwise, FidMarket does not become a party to transactions between buyers and sellers.
Transactions involving blockchain assets, account control rights, usernames, and digital identities are inherently risky and may fail, be delayed, or become impossible due to technical, legal, or third-party service issues.
- We do not guarantee that any listing will sell.
- We do not guarantee that any buyer will complete payment, funding, authorization, or signature steps.
- We do not guarantee that any seller will maintain eligibility or ability to complete transfer.
- We do not guarantee uninterrupted availability of Farcaster, Optimism, wallet software, fname services, RPC providers, indexers, hubs, or third-party infrastructure.
- We do not guarantee that a particular username, fname, profile, or display state will remain unchanged or available.
5. Listings and Seller Obligations
If you create a listing, you represent and warrant that:
- you have the legal right and technical ability to sell, transfer, or complete the listed FID and any included rights;
- the listing is accurate, complete, and not misleading;
- you are not listing stolen, compromised, unauthorized, disputed, or fraudulently obtained assets;
- the listed FID is not subject to a contractual restriction, litigation, injunction, or third-party claim that would prevent transfer;
- all required signatures, transfer permissions, approvals, and settlement steps you provide are valid and authorized;
- where a listing includes an fname or username, you have the right to include it in the sale as represented.
- you will not intentionally alter, compromise, misrepresent, or interfere with the listed FID or included username during an active marketplace flow.
6. Buyers and Offers
If you submit an order or make an offer, you represent and warrant that:
- you are authorized to use the wallet and funds used for the transaction;
- you understand the FID, username state, price, and settlement flow you are attempting to use;
- you are capable of receiving the FID and any associated rights;
- any signatures, authorizations, deadlines, recovery addresses, or settlement inputs you provide are accurate and intentionally submitted by you;
- your payment method or blockchain funds are lawful and not derived from prohibited activity.
- your receiving wallet is eligible to receive a Farcaster FID under the applicable registry rules.
7. Payments, Escrow-Like Flows, and Settlement
The Platform may support direct payment flows, funded offers, escrow contracts, WETH-backed offer escrow, or other settlement mechanics. By using these flows, you acknowledge and agree that blockchain settlement is final once confirmed on-chain.
Where funds are held in a smart contract or similar mechanism, release or refund may depend on contract logic, transaction success, manual review, emergency procedures, or the state of the corresponding order or offer.
- smart contract interactions may fail, revert, delay, or behave unexpectedly due to bugs, congestion, chain reorgs, incorrect inputs, wallet issues, RPC issues, or third-party dependency failures;
- fees, gas, timing, and network conditions may affect settlement;
- settlement may require multiple signatures and time-sensitive authorizations;
- orders may move through states such as created, reserved, paid, confirmed, settling, needs review, failed, refunded, or succeeded;
- FidMarket may pause, delay, retry, or review settlement when risk signals, mismatches, custody issues, authorization expiry, or technical errors arise.
8. FID Transfers, Username / fname Handling, and Technical Dependencies
FidMarket’s default listing model is live-first. This means sellers generally keep custody of their FID while a listing is active. A listing becomes reserved only when a buyer starts checkout or when a funded offer is accepted and converted into an order.
For the default live-first flow, settlement depends on valid buyer and seller authorizations, Farcaster registry state, Optimism network execution, and successful settlement processing. The Platform may support other execution paths, including custodial or contract-assisted flows, but these are not the default unless clearly indicated in the relevant flow.
If a listing includes an attached username / fname, FidMarket treats that username as included in the sale. In the normal marketplace path, username completion may be recorded automatically after successful settlement. However, username visibility and propagation can still depend on Farcaster clients, hubs, registries, and related infrastructure.
The Platform interacts with Farcaster-related infrastructure and related services, including on-chain registries, off-chain services, hubs, indexers, RPC providers, wallet software, and fname-related services.
- FID transfer depends on Farcaster registry rules, Optimism blockchain state, wallet signatures, and the current custody owner of the FID;
- a buyer wallet may be unable to receive a FID if it already owns one or otherwise fails applicable registry requirements;
- seller authorization, buyer authorization, nonce values, deadlines, and recovery addresses must be valid at the time settlement is processed;
- fname or username handling may depend on separate infrastructure and may not be purely on-chain;
- even where the Platform automates username or fname-related handling, such steps can fail, delay, or produce inconsistent third-party display results;
- propagation across Farcaster clients, hubs, indexers, or external services may not be immediate;
- third-party services may change APIs, rules, formats, or availability without notice.
- FidMarket is not responsible for third-party infrastructure outages, registry changes, hub issues, client display issues, Warpcast behavior, or Farcaster ecosystem changes.
9. Fees
FidMarket may charge marketplace fees, listing fees, buyer fees, seller fees, protocol fees, or service fees. Applicable fees will be displayed on the Platform or otherwise disclosed at the relevant point in the user flow.
You authorize FidMarket to deduct, collect, or receive fees as described by the Platform.
Blockchain gas fees, network fees, wallet fees, payment processor fees, and other third-party charges are separate and are your responsibility unless expressly stated otherwise.
10. No Refund Policy Except Where Required or Explicitly Provided
Because blockchain transactions and digital asset settlements are generally irreversible, all completed transactions are final unless a refund path is explicitly provided by the Platform, the relevant smart contract or transaction flow permits a refund, FidMarket determines that a refund or reversal is appropriate, or applicable law requires otherwise.
Nothing in these Terms creates an unconditional right to refund.
11. Prohibited Conduct
You may not:
- use the Platform for unlawful, deceptive, fraudulent, abusive, or manipulative conduct;
- impersonate any person or entity;
- list assets you do not own or control;
- use stolen wallets, compromised accounts, or unauthorized credentials;
- submit false signatures, forged authorizations, or invalid transaction data;
- interfere with Platform security, rate limits, queues, notifications, settlement jobs, or transaction flows;
- scrape, reverse engineer, probe, or attack the Platform except as allowed by law and our written permission;
- use bots or automation to manipulate listings, offers, rankings, or user activity;
- engage in wash trading, fake offers, price manipulation, extortion, harassment, or spam;
- use the Platform to launder funds or evade sanctions, taxes, or law enforcement.
12. Compliance, KYC, and Enhanced Review
FidMarket may, at any time and in its sole discretion, request identity verification, source-of-funds information, proof of control, or other due diligence materials; impose transaction limits, holding periods, or manual review; restrict, suspend, or terminate access; or block specific jurisdictions, wallets, addresses, transactions, or assets.
Failure to comply with compliance requests may result in cancellation, suspension, freezing of Platform access, or refusal of service.
13. Taxes
You are solely responsible for determining, reporting, and paying all taxes arising from your use of the Platform, including income tax, capital gains tax, VAT, sales tax, withholding obligations, and other local taxes.
FidMarket does not provide tax advice.
14. Intellectual Property and Platform Rights
The Platform, including its software, interface, branding, design, text, graphics, workflows, data presentation, and underlying technology, is owned by FidMarket or its licensors and is protected by intellectual property laws.
Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Platform for its intended purpose.
You may not copy, modify, distribute, license, sell, or exploit Platform content or software except as expressly authorized.
15. User Content
If you submit content to the Platform, including listing descriptions, support messages, feedback, images, or other materials, you grant FidMarket a worldwide, non-exclusive, royalty-free license to host, use, copy, display, adapt, and distribute that content for Platform operation, improvement, moderation, dispute handling, legal compliance, and marketing.
You represent that you have the rights necessary to grant this license.
16. Communications
You consent to receive communications from FidMarket electronically, including through website notices, wallet prompts, Telegram messages, or other channels enabled on your account.
Telegram and other third-party messaging channels are optional convenience channels and may be insecure, delayed, unavailable, or intercepted by third parties. You are responsible for enabling or disabling such integrations.
17. Suspension and Termination
We may suspend, limit, or terminate your access to the Platform at any time, with or without notice, if you violate these Terms; we suspect fraud, abuse, sanctions risk, theft, compromise, or unlawful conduct; we are required to do so by law, third-party demand, or technical necessity; or continued service creates unacceptable risk for FidMarket, users, or partners.
Termination does not affect obligations or liabilities that arose before termination.
18. Disputes Between Users
FidMarket may, but is not required to, assist with disputes between users. We may review logs, signatures, wallet activity, listing data, audit records, and settlement records when investigating disputes.
Our decision to intervene, delay settlement, mark a transaction for review, retry settlement, or provide support does not create any fiduciary duty or guarantee any outcome.
19. Disclaimers
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIDMARKET DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE PLATFORM WILL BE SECURE, ERROR-FREE, AVAILABLE AT ALL TIMES, OR FREE FROM HACKS, BUGS, OUTAGES, OR THIRD-PARTY FAILURES.
20. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIDMARKET AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, DIGITAL ASSETS, OR REPUTATION, ARISING OUT OF OR RELATED TO THE PLATFORM OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE TOTAL FEES PAID BY YOU TO FIDMARKET IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR USD $100.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
21. Indemnification
You agree to indemnify, defend, and hold harmless FidMarket and its affiliates, officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable legal fees, arising out of or related to your use of the Platform, your listings, offers, orders, content, or transactions, your violation of these Terms, your violation of any law or third-party right, or any dispute between you and another user.
22. Dispute Resolution
If a dispute arises from your use of the Platform, you agree to contact FidMarket first so we can attempt to resolve the issue informally.
FidMarket may review logs, signatures, wallet activity, listing data, audit records, payment records, offer records, and settlement records when investigating disputes.
Nothing in this section limits any rights or remedies available under applicable law.
23. Changes to These Terms
We may modify these Terms from time to time. Updated Terms will be posted on the Platform with a revised “Last Updated” date. Your continued use of the Platform after the updated Terms become effective constitutes acceptance of the revised Terms.
